These Terms and Conditions of Use (the "Terms of Use") apply to Sublue Underwater AI Co., Ltd（the”Sublue”） web site located at www. sublue.com, and all associated sites linked to www. sublue.com, its subsidiaries and affiliates (collectively, the "Site"). BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

Certain features or services offered on or through the Site may require you to open an account (including setting up an ID and password). When you register, you will be required to provide us with some information about yourself, you should make sure that the information you provide to us is accurate. You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify Sublue immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Sublue or any other user of or visitor to the Site due to someone else using your ID, password or account as a result of your failing to keep your account information secure and confidential.

You may not use anyone else’s ID, password or account at any time without the express permission and consent of the holder of that ID, password or account. Sublue cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

Certain features of the Site may permit users to upload content to the Site, including messages, reviews, photos, video, images, folders, data, text, and other types of works (“User Content”) and to publish User Content on the Site. You retain copyright and any other proprietary rights that you may hold in the User Content.You are solely responsible for your User Content and the consequences of posting or publishing User Content. By posting or publishing User Content, you grant Sublue a worldwide, non-exclusive, royalty-free, fully paid right and license (with the right to sublicense) to host, store, transfer, display, perform, reproduce, modify for the purpose of formatting for display, and distribute your User Content, in whole or in part, in any media formats and through any media channels now known or hereafter developed. By posting or sharing User Content with other users of the Site, you grant those users a non-exclusive license to access and use that User Content as permitted by these Terms and the functionality of the Site.

Sublue is under no obligation to edit or control User Content that you or other users post or publish, and will not be in any way responsible or liable for User Content. Sublue may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms or is otherwise objectionable.

You may not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site. Sublue reserves the right to bar any such activity.

You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any other customer of Sublue, including any Sublue account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.

You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or Sublue’s systems or networks, or any systems or networks connected to the Site or to Sublue.

You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to Sublue on or through the Site or any service offered on or through the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

Purchases of goods or services will automatically link to third party websites, and specific sections of the Site may be subject to additional terms and conditions; all additional terms are incorporated into these Terms by reference. You agree to abide by all such other terms and conditions. Sublue’s obligations, if any, with regard to its products and services are governed solely by the agreements pursuant to which they are provided, and nothing on this Site should be construed to alter such agreements.

The materials on the Site with respect to products and services may be out of date, and Sublue makes no commitment to update the materials on the Site with respect to such products and services.

Except where prohibited by law, in no event will Sublue be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if Sublue has been advised of the possibility of such damages.

If, notwithstanding the other provisions of these Terms of Use, Sublue is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site or any Content.

You agree to indemnify and hold Sublue, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Sublue by any third party due to or arising out of or in connection with your use of the Site.

If you violate any provision of these Terms, your permission from us to access the Site will terminate automatically. In addition, Sublue may in its sole discretion terminate your Sublue account or suspend or terminate your access to the Site at any time for any reason or no reason, with or without notice.

These Terms are governed by the laws of People’s Republic of China without regard to its conflicts of laws provisions.Any dispute arising from or in connection with these Terms shall be submitted to China International Economic and Trade Arbitration Commission in Beijing, China for arbitration, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

The Site is owned and operated by Sublue. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Site (“Materials”) provided by Sublue are protected by intellectual property and other laws. All Materials contained in the Site are the property of Sublue and its third-party licensors. Except as expressly authorized by Sublue, you may not make use of the Materials. Sublue reserves all rights to the Materials not granted expressly in these Terms.

We reserve the right, at our discretion, to change these Terms on a going-forward basis at any time. Please check these Terms periodically for changes. Modified versions of these Terms are effective upon their publication. If we make material changes to the Terms, we will attempt to provide you reasonable notice before such changes become effective. By continuing to access the Site, you agree to be bound by the updated, amended, or modified Terms. If you do not agree to be bound by the modified Terms, you must immediately cease your access to or use of the Site.
